1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Resgen, Inc., a Canadian corporation ("Company," "we," "us," or "our") governing your use of the Resgen platform and services (collectively, the "Service"). By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service constitutes acceptance of any modifications to these Terms.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Resgen is a platform that helps students, particularly those applying to software engineering and product management internships, tailor their resumes by automatically piecing together well-crafted building blocks. Our service allows users to create a pool of building blocks (experiences, project skills, bullet points, education, etc.) and uses AI to combine these blocks to create personalized resumes based on job descriptions.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate and current
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use and Prohibited Activities

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • For any unlawful purpose or in violation of any applicable federal, state, local, or international law or regulation
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • To engage in any other conduct that we deem harmful to the Service or other users
  • To attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks
  • To interfere with or disrupt the Service or servers or networks connected to the Service
  • To use any robot, spider, or other automatic device, process, or means to access the Service for any purpose
  • To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
  • To create false, misleading, or fraudulent resumes or professional profiles
  • To share, transfer, or sell your account credentials to any third party
  • To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • To use the Service to compete with us or to build a similar service

We reserve the right to investigate and prosecute violations of any of the above to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms.

5. Content and Intellectual Property Rights

5.1 User Content

You retain all rights, title, and interest in and to any content, data, information, or materials you submit, upload, or create through the Service ("User Content"), including but not limited to your building blocks, resume content, job descriptions, and profile information.

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business, including for the purpose of providing, improving, and promoting the Service.

You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to grant the foregoing license and that your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other rights.

5.2 Company Intellectual Property

The Service and its original content, features, functionality, algorithms, software, and technology are owned by Resgen, Inc. and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Resgen name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Resgen, Inc. or its affiliates or licensors.

You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

5.3 DMCA and Copyright Infringement

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing
  • Your contact information
  • A statement that you have a good faith belief that use of the material is not authorized
  • A statement that the information is accurate and that you are authorized to act on behalf of the copyright owner

6. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

7. Payment and Billing

If you choose to upgrade to a paid plan, you agree to pay all fees associated with your subscription. Fees are billed in advance and are non-refundable except as required by law. We reserve the right to change our pricing with reasonable notice.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms of Service. Upon termination, your right to use the Service will cease immediately.

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

WE ARE NOT RESPONSIBLE FOR THE ACCURACY, EFFECTIVENESS, OR SUCCESS OF RESUMES CREATED USING OUR SERVICE. WE DO NOT GUARANTEE THAT USE OF OUR SERVICE WILL RESULT IN EMPLOYMENT, INTERVIEWS, OR ANY SPECIFIC OUTCOMES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

10. Limitation of Liability and Indemnification

10.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RESGEN, INC., ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

UNDER NO CIRCUMSTANCES WILL RESGEN BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RESGEN ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE.

IN NO EVENT SHALL THE TOTAL LIABILITY OF RESGEN TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID RESGEN IN THE LAST TWELVE (12) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

10.2 Indemnification

You agree to defend, indemnify, and hold harmless Resgen, Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Ontario, Canada, and you hereby consent to the personal jurisdiction and venue of such courts.

12.2 Dispute Resolution

Before filing any claim against Resgen, you agree to try to resolve the dispute informally by contacting us at sarahsimionescu@gmail.com. We will try to resolve the dispute informally within sixty (60) days of your notice. If we cannot resolve the dispute informally, you agree to resolve any claim, dispute, or controversy arising out of or relating to these Terms or the Service through binding arbitration rather than in court.

The arbitration will be conducted by the ADR Institute of Canada under its Commercial Arbitration Rules. The arbitration will be held in Toronto, Ontario, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

13. Severability and Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and Resgen with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Service.
